Agreement

These Terms of Service (hereinafter referred to as the “Terms”) help define the relationship between you and QubiMap H.K Limited (hereinafter referred to as “QubiMap,” “we,” or “our”), regarding your access and use of the QubiMap application, website, and other related services (collectively referred to as the “Services”).

Important Notice: Please read and fully understand all these Terms. By clicking the [Agree] button or using the Services, you agree to be bound by these Terms. If you do not agree to any of these Terms, please do not use the Services.

1. Scope of Services and Changes

1.1 Service Content: QubiMap provides location-based services, including but not limited to map browsing, place search, route planning, navigation, and geographic information annotation. The map data, points of interest, and other information displayed in the Services are sourced from third-party providers and are for reference only.

1.2 Service Changes and Interruptions: We continuously improve our Services and therefore reserve the right to change, suspend, or terminate part or all of the Services at any time, possibly without prior notice. To the maximum extent permitted by law, we shall not be liable for any inconvenience or loss caused to you by such changes.

2. License and Restrictions

2.1 Grant of License: Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, and revocable ordinary license to use the Services.

2.2 Usage Restrictions: You shall not:

• Use the Services for any illegal, infringing, or unauthorized purposes;
• Reverse engineer, decompile, or attempt to extract the source code of QubiMap;
• Use the Services to interfere with or disrupt the normal use of other users or networks;
• Collect or store other users’ personal information without their consent.

3. User Account and Security

3.1 Account Responsibility: You are solely responsible for the security of your account information (such as username and password) and for all activities that occur under your account. You agree not to transfer, lend, or allow others to use your account.

3.2 Account Termination: If it is found that you breach the Terms, we reserve the right to suspend or permanently terminate your account and your access to the Services without prior notice.

4. User Content and Code of Conduct

4.1 User Content: When you submit text, images, or other information ("User Content") through interactive features such as forums or comments, you grant us a worldwide, free, sublicensable license to operate, improve, and promote the Services.

4.2 Code of Conduct: You agree not to publish or disseminate any information that is illegal, infringing, harassing, hateful, obscene, or contains violence or discrimination. We reserve the right to remove any offending content, but we are under no obligation to do so.

5. Privacy and Data Protection

5.1 Data Collection and Use: Our Privacy Policy provides the detailed information on how we collect, use, store, and protect your personal information (such as location data and device information). The Privacy Policy constitutes an integral part of the QubiMap Terms of Service.

5.2 Direct Marketing: We will not use your personal information for direct marketing purposes without your explicit consent. You have the right to request, at any time and free of charge, that we cease using your personal information for direct marketing.

5.3 Cross-Border Data Transmission: If it is necessary to transmit your personal data outside the Hong Kong region, we will ensure that such transmission complies with the requirements of the Personal Data (Privacy) Ordinance (Cap. 486 of the Laws of Hong Kong), or that appropriate protective measures have been taken.

5.4 Data Subject Rights: Under the Personal Data (Privacy) Ordinance, you have the right to ascertain whether we hold your personal data, to access such data, to request correction of inaccurate data, and to be informed of our policies and practices regarding personal data.

6. Paid Services

6.1 Paid Features: Certain features of the Services may require payment. Before making any payment, you will be clearly informed within the application of the price, service content, and billing cycle.

6.2 Subscription and Auto-Renewal:

• If you choose to subscribe to the Services, your subscription will automatically renew at the end of the current subscription period unless you cancel auto-renewal at least 24 hours before the end of the current period.
• The method of cancellation (such as through App Store or Google Play account settings) will be clearly indicated within the application.

6.3 Free Trial: If a free trial period is offered, charges will automatically commence once the trial ends unless you cancel before the trial expiration date. You should pay attention to the trial end date. Deleting the application does not constitute cancellation of the subscription.

6.4 Payment and Refunds: Payments are processed through third-party payment platforms, and we do not store your complete payment instrument information. Once sold, paid services are generally non-refundable unless otherwise required by law or expressly provided in these Terms. Specific refund policies will be separately established by us.

6.5 Price Changes: We reserve the right to adjust service prices. Any price changes will be notified to you in advance through the application or by email. Price changes will not affect services already purchased during the current valid subscription period.

7. Navigation Disclaimer and Limitation of Liability

7.1 Navigation and Driving Safety: The navigation information provided by the Services is for reference only. When driving, you must always take into account actual road conditions and comply with traffic signs and applicable laws and regulations. For your safety and that of others, please operate the software only when your vehicle is safely parked. We assume no responsibility for any accidents, losses, or penalties resulting from operating the Services or relying on navigation information while driving.

7.2 Services Provided “As Is”: The Services may be affected by various factors, including GPS signal accuracy, network conditions, delays in map data updates, and limitations of third-party APIs. To the maximum extent permitted by law, we make no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

7.3 Limitation of Liability: In no event shall QubiMap’s total liability to you exceed the amount of fees you have paid to us for use of the Services during the six months preceding the claim (if any). We shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits or loss of data.

7.4 Force Majeure: We shall not be liable for any interruption or unavailability of the Services caused by events beyond our reasonable control, including but not limited to natural disasters, war, strikes, government actions, cyberattacks, or telecommunications failures.

8. Intellectual Property

8.1 QubiMap Rights: All intellectual property rights in the QubiMap application and source code, and all rights to the website, trademarks, names, logos, and related content, are owned by us or our licensors.

8.2 User Rights: You retain ownership of all “User Content” you submit, but grant us the license to use such content as specified in the preceding section 4.1.

9. Third-Party Links and Services

The Services may contain links to third-party websites or services, or integrate third-party APIs. We are not responsible for the content, privacy policies, or practices of any third parties. When you use third-party services, you are subject to their own terms and policies.

10. Termination

10.1 You may stop using the Services and uninstall QubiMap at any time.

10.2 We may terminate the Terms and suspend your access under the following circumstances: if you breach the Terms; if required by applicable laws or regulations; or if we deem it necessary to discontinue the Services.

11. Governing Law and Dispute Resolution

11.1 Governing Law: The interpretation, validity, and performance of these Terms shall be governed by the laws of Hong Kong.

11.2 Dispute Resolution: Any dispute arising out of or in connection with these Terms or the Services shall first be resolved through amicable negotiations. If negotiations fail, you and QubiMap agree to submit the dispute to the competent courts of Hong Kong, which shall have exclusive jurisdiction over such disputes.

12. Amendments to the Terms

We reserve the right to amend the Terms at any time. For material changes, we will provide you with prominent notice within the application or by email, or through other appropriate means. The amended Terms shall take effect from the date specified in the notice. Your continued use of the Services after that date constitutes your acceptance of the amended Terms.
